Doing Business in Dubai




Before you start to engage in economic activity in Dubai and apply for a license, we have to read this information and the key steps outlined below, which contribute to achieving the requirements of practicing economic accurately.
• Assumed at the outset determine the type of activity / activities to be practiced (commercial, industrial or professional), note that the total activities that may be contained in a single license must be no more than ten and that the activities to be homogeneous in nature, for more details, please see search service commercial activities .
• Determine the legal form of the facility, which is determined based on the type of activity / activities required and the number of applicants and the application of their nationality. For more details, see the legal forms of companies .
• Sure to provide all the requirements and conditions of license to be obtained, for more details, see the registration of new companies .
• Select the brand name of the facility according to the conditions and laws, for more details, please see the service Tradename electronically .
• Apply to the Department for preliminary approval, keeping the brand name, either in person to the building department or foreign branches or through e-services available on the site.
• After obtaining the approval of the rental site can conduct business and communicate with the Planning Department of Dubai Municipality to ensure suitability for the exercise of the activity.
• Processing of all required documents and the progress of the Department of Foreign Affairs or a branch to pay the fees and get the final license.
• Apply for a branch circuit to obtain a permit banner is necessary for the exercise of economic action.
First - the citizens of the State:

Citizens of the state may exercise all the commercial activities and professional and industry when they meet the requirements and conditions and activities they can engage in one of the following legal forms:
• Individual institution.
• Company with limited liability / solidarity.
• Private joint stock company / general.
• Civil business company.
Secondly - the citizens of the Gulf Cooperation Council states:
May GCC citizens the exercise of most commercial activities, professional and industrial when they meet the requirements and conditions (other than the activities of the Hajj and Umrah services and commercial agencies and the role for the disabled and aged care, community service and printing presses and publishing houses, newspapers and magazines as they are limited to citizens of the United Arab Emirates), and they can engage in activities in one way the following legal:
• Individual institution.
• A limited liability company: The required here that all the partners of citizens of GCC countries, and in the case of a partner or more possessing the nationality of the other Vistrt here and having a partner or more UAE nationals so that not less than its share / share of 51% of the paid-up capital .
• Public company / private: the required here that all the partners and who should not be less than three of the citizens of GCC countries, and in the case of a partner or more children possessing the nationality of the other Vistrt here and having a partner or more UAE nationals so that not less than its share / share 51% of the paid-up capital:
(Example: Gulf partner and a partner and newcomer requires a partner of the citizens of the state)
• Civil business company: It is permissible for two or more of the citizens of the States to establish a civil business company to practice a specific profession without the requirement to appoint a local agent, but in the case of a partner or more than non-GCC citizens shall be appointed a local agent of UAE nationals or as a partner.
Thirdly - the citizens of other States:
May the citizens of other countries, whether Arab or foreign economic activities one of the following legal forms:
• Individual institution: may be established for the conduct of one individual professional activities only provided the appointment of a local agent of the citizens of the United Arab Emirates
• A limited liability company: establishes this kind of companies to engage in a commercial or industrial activity is required here and having a partner or more UAE nationals so that not less than its share / share of 51% of the paid-up capital.
• Private joint stock company: establish this type of company to engage in a commercial or industrial activity is required here and having a partner or more UAE nationals so that not less than its share / share of 51% of the paid-up capital
• Civil business company: It is permissible for two people to establish a civil business company for the conduct of professional activity, provided that the appointment of a local agent of the citizens of the UAE, or as a partner.
IV - Foreign Companies:
Permissible for companies incorporated outside the UAE engage in a commercial or industrial activity or professional one of the following legal forms:
• Branch of a foreign company.
• A limited liability company: establishes this kind of companies to engage in a commercial or industrial activity is required here and having a partner or more UAE nationals so that not less than its share / share of 51% of the paid-up capital
• Public company / private: establish this type of company to engage in a commercial or industrial activity is required here and having a partner or more UAE nationals so that not less than its share / share of 51% of the paid-up capital.

Legal form
Federal Law No. 8 of 1984, as amended by Federal Law No. 13 of 1988 - the Commercial Companies Law - and its by-laws govern the operations of foreign business. In broad terms the provisions of these regulations are as follows: The Federal Law stipulates a total local equity of not less than 51% in any commercial company and defines seven categories of business organization, which can be established in the UAE. It sets out the requirements in terms of shareholders, directors, minimum capital levels and incorporation procedures. The seven categories of business organization defined by the Law are: General partnership company, Partnership-en-commendam, Joint venture company, Public shareholding company, Private shareholding company, Limited liability company, Share partnership company. By far the most usual form that businessmen and/or corporations prefer is the limited liability company.

The legislation, which governs Dubai Offshore Companies, was enacted in Jebel Ali Free Zone (Jafza) in Dubai in May 2003. It provides for a secure environment for investors without the levels of unnecessary intrusion and bureaucracy found in other offshore jurisdictions.

Name of the company
Dubai offshore companies must use the suffix Limited or Ltd. to denote limited liability. The following words and their associated activities are prohibited: Banking, Insurance and Re-insurance.

Shareholders
Dubai offshore company can have minimum one and a maximum of 50 persons whose liability is limited to their shares in the company's capital. 100% foreign ownership of the company is allowed. There is no public register of shareholders and directors. Shareholders need to visit Jafza and sign the incorporation documents in the presence of the authorized official of Jafza. Alternatively a power of attorney, notarized and legalized by UAE Embassy, can be issued to a nominated person who can then sign before Jafza authorized official.

The minimum share capital
Dubai offshore company can select its own minimum capital. Usually we recommend share capital to be US Dollars 1,000. All shares must be fully paid when allotted. A company may not create different classes of shares. Bearer shares cannot be issued. Presently, joint shareholding is not allowed.

Directors of the company and secretary
A minimum of two directors and one secretary are required and they cannot be bodies corporate. One of the directors can also be a secretary. A register of directors must be held at the Registered Office, but it is not a matter of public record.

Registered office and local agent
Dubai offshore company must maintain a local Registered Agent approved by the local authorities and a local Registered Office, which is usually provided by the Registered Agent.

Taxation
Dubai offshore companies pay no taxes on profit, capital gains or anything else in Dubai.

Audit and financial returns
No annual reports or accounts need to be filed. Accounts must be audited and accounts must be distributed to shareholders (but NOT filed with the authorities). Dubai offshore company may retain their accounting records wherever in the world the directors deem appropriate.

Meetings
Dubai offshore company meetings need not be held in Dubai.

Time needed for formation
Usually it is 5-7 working days.

Dubai Resident visa for trader / investor/ Visit Visa / Tourist Visa/ Employment visa




To obtain a UAE visit visa you’ll need evidence of medical insurance, and a 1000 dhs deposit (some nationalities may be exempt). Cost of visit visa will be 500 dhs in any emirate. Visit visa validity will be 30 days and cannot be renewed. UAE non-Emirati residents will no longer be able to sponsor friends, only spouse or first-degree relatives, although there was a report in Xpress 25 September 2008 that a DNRD official said residents on salaries greater than 10,000 dhs/month could sponsor friends for a visit visa.

GCC residents might be able to obtain a visit visa for 100 dhs, with 500 dhs fee for one renewal. GCC nationals might be able to bring visitors with them under the same conditions, except renewal fee is only 200 dhs.

Visit Visa for 60 days – free for some nationalities

The new visa rules in June 2008 continued the free UAE visas on arrival for some nationalities but length of stay was randomly 30 days or 60 days until January 2009 when the period was set to 30 days, even if the stamp said 60 days.

Visit Visa for 90 days

Same conditions as 30 day visa but cost is 1000 dhs.

Other visit visas (all need 1000 dhs deposit)

Student visit visa UAE costs 1000 dhs, valid 60 days, person must be registered at a UAE university (for students coming to enrol in short course – long-term students should already have a residence visa). Can be renewed twice for 500 dhs.
Conference or Exhibition Visit Visa costs 100 dhs, valid for 30 days. Not renewable.
Medical Visit Visa costs 1000 dhs, valid 90 days, renewable for another 90 days for 500 dhs.
Tourist Visa

Valid for 30 days, costs 100 dhs + 10 dhs delivery fee, can only be obtained by hotels or tour operators. A deposit of 1000 dhs is needed. Can be renewed once.

Multi entry visa valid 180 days (or 6 months)

See the Dubai multiple entry visa information. Length of stay is 14 days per visit. Anyone can apply?
Other types of visas

Investor Visa for expats who invest a minimum of AED 70,000 share capital in a business partnership with a UAE national. Valid for 3 years, visa fee is 300 dhs.
Mission Visa (for temporary work in the UAE). Valid 90 days, costs 200 dhs, not renewable. Note that 90 days is not the same as 3 months. Other reports are saying the Mission Visa is valid 90 days for 600 dhs, can be renewed once for another 90 days with renewal fee 1200 dhs, but that may be old information, or conflicting information.
Parent Visa (name might not be correct). UAE residents can sponsor parents for 1 year renewable (need special permission from the FNRD). Refundable deposit of 5000 dhs (per parent) and visa fees 100 dhs.
Transit Visa costs 100 dhs, valid 96 hours (or 14 days according to some reports). Only issued if evidence of outbound flight shown.
UAE Embassies and Consulates can issue free visit visas if you’re important enough.

A trade license must be obtained from the Dubai Department of Economic Development (DED) prior to the entity commencing commercial activities. Certain business sectors may also require further approval from various ministries or other authorities. And certain commercial activities are restricted to UAE nationals or companies fully owned by UAE nationals.
1. Limited Liability Companies
The limited liability company (LLC) is the most widely used commercial entity for companies with a non-UAE national element wishing to conduct commercial activities in Dubai. An LLC is a private company and shares in it cannot be offered to the public.
The Companies Law requires that a minimum of 51% of the shares in an LLC must be held by UAE nationals. However, the law permits profits and losses to be distributed disproportionately to the shareholding ratio. This ratio should be set out in the LLC’s Memorandum of Association. Various requirements must be followed when naming an LLC: these include a requirement to derive the LLC’s name from either its purpose or from the name of one or more or its shareholders.
There are no nationality restrictions regarding the management of an LLC. The minimum number of directors is one, with a maximum of five directors permitted by the Companies Law. Article 218 of the Companies Law regulates the composition of an LLC. An LLC requires a minimum of two shareholders, with a maximum of 50 shareholders permitted.
While Article 227 of the Companies Law (which applies throughout the UAE) stipulates that the minimum share capital of the company is AED 150,000; the Dubai authorities require a minimum share capital of AED 300,000 for Dubai incorporated LLCs. Individual shares should have a minimum face value of AED 1,000. The shares need to be “equal shares”.
An LLC may not conduct the business of insurance, banking or the investment of money on behalf of third parties.
Companies that trade in physical goods are the best example of Limited Liability Companies.
2. Professional Companies / Civil Works Companies
In setting up a professional firm, 100% foreign ownership is generally permitted, however certain sectors and activities are restricted to either UAE nationals or have a UAE national shareholding requirement.
Professional firms may be in the form of a sole proprietorship or a civil company. Such firms may engage in professional or artisan activities but the number of persons that may be employed by such firms is limited. A UAE national must be appointed as local partner for sole proprietorship, but s/he has no direct involvement in the business and is paid a lump sum and/or percentage of profits or turnover. The role of the local partner is, among other things, to assist in obtaining licenses, visas and labour cards.
Where there are two or more partners, the legal structure is a Civil Works Company whereby there must be a UAE national shareholding of minimum 20%.
There is a requirement that all the individuals involved have relevant University level qualifications in the relevant field of business.
Companies such as consultancies and other service sector providers are common examples of professional and civil works companies.
3. Branch or Representative Offices of Foreign Companies
Article 314 of the Companies Law regulates the operation of branch and representative offices of foreign companies in the UAE. These may be wholly owned by a foreign entity, provided that a UAE national is appointed as the local partner.
The role of a local partner for a branch or representative office is to assist generally with administrative matters such as obtaining visas, licenses and dealing with local authorities. The local partner is generally paid a fixed fee and does not have a right to participate in any profits from the branch or representative office.
While a branch office may carry out activities similar to those of its parent company, there are certain activities that are restricted to UAE nationals, such as importing goods.
A representative office may only promote its foreign parent company’s activities through, for example, gathering information and soliciting orders and projects to be performed by the company’s head office. It is not permitted to carry out the parent company’s activities. Representative offices are also restricted as to the number of employees they can sponsor and as a result, representative offices tend to act as administrative and marketing centers for their foreign parent company’s head office.
Provided that approval is received from the Ministry of Economy and the DED, and the appropriate trade license is obtained, a company may establish a branch or representative office in the UAE. The office must be registered on the Registry of Foreign Companies at the Ministry of Economy before it commences trading.
Many well renowned companies that conduct business in the UAE through a dealer network have a branch or representative office in Dubai to oversee their marketing operations and provide the necessary support.
4. The Free Zones
4.1 Businesses wishing to operate in Dubai should be aware that several zones, known as ‘free zones’, have been established with the specific purpose of facilitating foreign investment into Dubai. However, businesses operating within a free zone are restricted as to the type of dealings that they may conduct outside of the designated free zones. Businesses wishing to conduct local business in Dubai should comply with the requirements of the Companies Law and other relevant laws applicable to the respective industry.
4.2 Below is an overview of the most popular methods used by foreign companies to operate in Dubai outside and within a free zone.
5. Operating outside of a Free Zone
5.1 The limited liability company (LLC) is the most widely used commercial entity for companies with a non UAE national element wishing to conduct commercial activities in Dubai. An LLC is a private company and shares in it cannot be offered to the public.
5.2 Article 22 of the Companies Law requires that no less than 51 per cent of the shares in an LLC must be held by UAE nationals. However, Article 227(2) of the Companies Law permits profits (and losses) of the LLC to be distributed disproportionately to the UAE national/non UAE national shareholding ratio. This ratio should be set out in the LLC’s memorandum of association.
5.3 Article 218 of the Companies Law regulates the composition of an LLC. An LLC requires a minimum of two shareholders, with a maximum of 50 shareholders permitted.
5.4 There are no nationality restrictions regarding the management of an LLC. The minimum number of directors is one, with a maximum of five directors permitted by the Companies Law.
5.5 An LLC may not conduct the business of insurance, banking or the investment of money on behalf of third parties.
5.6 Several administrative steps must be completed before the LLC’s incorporation is effected. These include the approval of the LLC’s name and memorandum of association by the DED. Article 219 of the Companies Law sets out various requirements that must be followed when naming an LLC: these include a requirement to derive the LLC’s name from either its purpose or from the name of one or more or its shareholders. The DED also provides a standard form of memorandum of association and will review an LLC’s memorandum to ensure compliance with local requirements. The DED must also be satisfied that the minimum share capital of the LLC has been deposited with a bank operating in Dubai before it will allow the LLC to be incorporated.
5.7 A public joint-stock company (PJSC) is very similar to a UK public limited company or German Aktiengesesallschaft (AG). It requires a minimum share capital of AED10,000,000 and a minimum of 10 founders, who are responsible for the incorporation of the company.
5.8 Shares in a PJSC must be offered for public subscription and the subscription notices must be published in two local daily Arabic newspapers. The founders are obliged to subscribe for a minimum of 20 per cent of the share capital (but this cannot exceed 45 per cent of the share capital). Article 153 of the Companies Law prevents shares being issued which have differing rights.
5.9 A PJSC is required to have between three and 15 directors, who are elected for three year terms. The chairman and a majority of the board of directors must be UAE nationals.
5.10 A private joint-stock company (Private Company) is similar to a UK private limited company. It requires a minimum share capital of AED2,000,000 and a minimum of three founder shareholders. Shares in a Private Company cannot be offered for public subscription but in all other respects the regulations applicable to a PJSC apply equally to a Private Company.

6. Setting up a business in a Free Zone
6.1 A number of free zones exist within Dubai and, as such, have a distinct legal status within the UAE. Companies incorporated and operating within the free zones are not subject to many of the restrictions imposed by the Companies Law and other UAE laws and regulations. Entities operating within the free zone may be 100 per cent foreign owned and benefit from a guarantee that tax will not be applied for a certain period of time, notwithstanding any subsequent change to federal or local laws.
6.2 The free zones include the Jebel Ali Free Zone (the JAFZ), the Dubai International Airport Free Zone (DAFZA), the Dubai Technology and Media Free Zone (TECOM), the Dubai Cars & Automotive Zone, the Dubai Health Care City, the Dubai Multi Commodities Centre and the Gold and Diamond Park. We understand that additional free zones will be established in the coming years.
6.3 The type of business that is to be set up dictates which free zone should be used. For example, the DAFZA is intended for businesses that import and export goods and the business activities permitted in TECOM include ‘design, development, use and maintenance of everything relevant to Information Technology, E-commerce and Media’.
6.4 The largest free zone in Dubai is JAFZ. It was established in 1985 and was the first zone to be set up in the UAE.
6.5 Each free zone is governed by an independent Free Zone Authority (FZA), which among other things, is responsible for issuing to businesses the necessary operating licences for operation within the relevant free zone.
6.6 As an illustration of the types of operating licences issued by the free zones, the following is a description of the operating licences issued by the JAFZ:
Trade licence: This licence is available to companies who wish to import, export, sell, distribute or store items identified on their licence. Sales cannot be made directly to the UAE. Any company wishing to sell goods from the JAFZ into the UAE must appoint a distributor or agent in the UAE.
Industrial licence: Industrial licences are intended for companies wishing to carry out manufacturing activities. Restrictions on selling products into UAE also apply to industrial licensees and a distributor or agent must be appointed in the UAE in order to sell products into the UAE.
Service licence: A service licence permits the licensee to provide services within the free zone. Services provided by the free zone licensee must be the same as those stipulated in the parent company’s licence in the UAE or abroad.
National Industrial licence: A national industrial licence permits the holder to import raw materials, manufacture specified products and export the finished products. However, a minimum 51 per cent of the shareholding must be owned by Gulf Co-operation Council (GCC) nationals. In addition to this restriction, a minimum 40 per cent of the value of the final product must have been added in the free zone.
6.7 From the above description of the relevant licences, it should be noted that a licence holder cannot operate outside the free zone using its free zone licence. A distributor or agent must be appointed within the UAE. However, potential customers from the UAE may visit the premises of the licence holder to view the goods.
7 Free Zone business entities.
7.1 In general, three options exist for those wishing to set up in a free zone. A business wishing to operate from a free zone can either incorporate a free zone establishment (FZE), a free zone company (FZC) or operate through a branch office of a foreign or local company. Branch offices are designed to be opened with a limited amount of administrative formality.
7.2 An FZE in the JAFZ requires a minimum capital of AED1,000,000. The minimum capital requirement represents one share and it can only have one shareholder.
7.3 The minimum capital required to incorporate an FZC is AED500,000 and an FZC can have between two and five shareholders. Each share must have a minimum value of AED100,000 or multiples thereof and there can only be one class of share.
7.4 The FZC must have a board of directors, consisting of a minimum of three people and having at least two directors and one secretary (although a person may hold both the offices of director and secretary within a company simultaneously). These individuals must be resident in Dubai.
8. Rights of FZE’s and FZC’s
8.1 One hundred per cent foreign ownership and full repatriation of profits and capital is permitted.
8.2 Exemption from corporate and income taxes for a determined period, regardless of subsequent changes to local laws.
8.3 Goods may be imported into the free zone, free of duty.
8.4 It is relatively straightforward to set up a company in a free zone. The first step is to complete a questionnaire issued by the relevant FZA. Once the questionnaire has been considered by the FZA the company will be required to provide the FZA with information on individual and corporate shareholders.
8.5 Individual shareholders are required to provide a personal profile which may include a business background, specimen signatures, domicile and address.
8.6 Corporate shareholders are required to provide:
certificate of registration or good standing;
memorandum and articles of association;
board resolution authorising the incorporation of the FZE or FZC;
powers of attorney in favour of the FZE/FZC managers; and e audited financial statements for the last two financial years.
8.7 Companies operating within the free zone are generally entitled to employ who they wish. However, various administrative requirements must be complied with such as providing the FZA with certain details of the licence holder’s employees.
8.8 While rates of pay are not specifically regulated, a minimum salary is stipulated in the JAFZ. Overtime rates are regulated by the FZA and shift working must be notified to the FZA.
8.9 Working hours are regulated and these are shortened during the Holy Month of Ramadan. The shortened hours apply to all employees, regardless of religion.
8.10 Employee numbers are restricted according to various criteria, including office area and machinery installation.
9. Tecom
The TECOM requirements are slightly different as the regulations only provide for limited liability companies, composed of between one and 50 shareholders. The current minimum share capital for a TECOM limited liability company is AED50,000 and the share capital may, upon the appropriate approvals being received from the authorities, be divided into different classes of shares. Each TECOM limited liability company is required to have at least one director and may have a maximum of four directors

Facing the five enemies within

We are not born with courage, but neither are we born with fear. Maybe some of our fears are brought on by your own experiences, by what someone has told you, by what you've read in the papers.
Some fears are valid, like walking alone in a bad part of town at two o'clock in the morning. But once you learn to avoid that situation, you won't need to live in fear of it. Fears, even the most basic ones, can totally destroy our ambitions. Fear can destroy fortunes. Fear can destroy relationships. Fear, if left unchecked, can destroy our lives. Fear is one of the many enemies lurking inside us.
Let me tell you about FIVE of the other enemies we face from within.

1..) The first enemy that u've got to destroy before it destroys u is INDIFFERENCE.
What a tragic disease this is. "Ho-hum, let it slide.
I'll just drift along." Here's one problem with drifting: you can't drift your way to the top of the mountain.

2..)The second enemy we face is INDECISION. It is the thief of opportunity and enterprise. It will steal your chances for a better future. Take a sword to this enemy.

3..)The third enemy inside is DOUBT. Sure, there's room for healthy skepticism. You can't believe everything. But you also can't let doubt take over. Many people doubt the past, doubt the future, doubt each other, doubt the government, doubt the possibilities and doubt the opportunities. Worse of all, they doubt themselves. I'm telling you, doubt will destroy your life and your chances of success. It will empty both your bank account and your heart. Doubt is an enemy Go after it. Get rid of it.

4..)The fourth enemy within is WORRY. Just don't let it conquer you. Instead, let it alarm you. Worry can be useful. If you step off the curb in New York City and a taxi is coming, you've got to worry. But you can't let worry loose like a mad dog that drives you into a small corner. Here's what you've got to do with your worries: drive them into a small corner. Whatever is out to get you, you've got to get it.

5..)The fifth interior enemy is OVER CAUTION. It is the timid approach to life. Timidity is not a virtue; it's an illness. If you let it go, it'll conquer you.
Timid people don't get promoted.
They don't advance and grow and become powerful in the marketplace. You've got to avoid over-caution.
Do battle with the enemy. Do battle with your fears. Build your courage to fight what's holding you back, what's keeping you from your goals and dreams.
Be courageous in your life and in your pursuit of the things you want and the person you want to become.
You will be facing the toughest opponent today in your life.
You have to make thing work,if it doesnt work- u dont leave but keep on firing your bullets of self belief.
